Please read this Agreement in full before using the platform. By using or registering on the platform, you accept these Terms in full. Arabic is the authoritative language of this Agreement; this English text is a translation provided for convenience.
1. Preamble
This document constitutes a legally binding agreement between you and the company operating the Matrah platform. By using, registering on, or browsing the platform, you acknowledge that you have read, understood, and fully and unconditionally accepted all of its terms and conditions. If you do not agree to any part of it, you must immediately stop using the platform and all of its services.
This Agreement is contractually binding and applies to any natural or legal person who accesses the platform by any means, regardless of the purpose of access.
Matrah reserves the right to amend this Agreement at any time. Material amendments take effect after at least 14 days' prior notice. Your continued use of the platform after any amendment constitutes express acceptance of the amended version.
2. Definitions
The terms used in this Agreement have the meanings set out below:
- Platform: the matrah.ps website, its applications, and the digital services available through them, including any future updates or versions.
- Matrah: the company operating the platform, registered under Palestinian law, including its directors, employees, and legal representatives.
- User: any natural or legal person who accesses, uses, or registers on the platform in any capacity.
- Account: the electronic login credentials created by the User to access the platform's services.
- Content: all data, text, images, documents, listings, and any materials that the User uploads or publishes on the platform.
- Listing: any property placed on the platform for sale, rent, or display.
- Services: all features and tools available on the platform, whether paid or free.
- Subscription: the paid plan that grants the User additional privileges as published on the platform.
- Third Party: any person or entity that does not belong to Matrah and does not act on its behalf.
- Applicable Laws: the legislation, regulations, and decisions issued by the competent Palestinian authorities.
3. Nature of the Platform
Matrah is exclusively a technical intermediary. It does not act as a real estate agent, legal advisor, or financial advisor; it does not represent any party in any real estate transaction; and it does not intervene in negotiations or the conclusion of contracts.
3-1 What Matrah does
- Providing a technical infrastructure to display, categorize, and search real estate listings.
- Facilitating initial communication between Users through the platform's tools.
- Reviewing listings formally to ensure they meet publishing standards — without verifying the accuracy of their content.
3-2 What Matrah does not do
- Matrah does not guarantee the truth, accuracy, or correspondence to reality of any listing.
- Matrah does not verify Users' identities, legal authority, or financial solvency.
- Matrah does not participate in the negotiation, documentation, or completion of any real estate transaction.
- Matrah is not a licensed real estate broker and bears no obligations arising from such a capacity.
- Matrah does not intervene in any dispute arising between Users and is not obligated to adjudicate it.
4. Eligibility and Registration
4-1 General conditions
- The User must have full legal capacity to contract under Palestinian law and must be at least 18 years old.
- Minors are prohibited from using the platform. If Matrah discovers this, it may close the account immediately without notice.
- Where a legal person registers, it must be represented by someone legally authorized to contract on its behalf.
4-2 Registration obligations
- Providing true, accurate, and complete information upon registration, and updating it as soon as it changes.
- Keeping login credentials confidential and not sharing them with any other party.
- Notifying Matrah immediately upon suspecting any security breach of your account.
- The User is fully responsible for all activities carried out through their account.
4-3 Additional conditions for brokers and developers
- Brokers must hold a valid professional license and provide a copy upon request.
- The broker affirms that they hold written authorization from the property owner to represent them and list their properties.
- Developers undertake to provide the project's official documents and obtain the necessary approvals before advertising.
5. User Roles and Privileges
- Buyers: may browse properties and communicate with sellers and brokers. This does not create any contractual relationship with Matrah beyond these Terms of Use.
- Sellers: may publish their listings after the platform's review and approval. They bear full responsibility for the accuracy of what they publish.
- Licensed brokers: subscribe to dedicated paid plans and affirm that they hold the necessary authorizations for every property they list.
- Real estate developers: subscribe to dedicated project plans and undertake to update their project information periodically every 30 days.
Matrah is in no case a party to any agreement concluded between Users, and bears no contractual obligations on behalf of any of them.
6. Listings and Content
6-1 Content responsibility
The publisher of a listing bears full and exclusive legal responsibility for the accuracy, truth, and legality of the content they publish. Matrah is not responsible for any misleading or false information published by a User.
- All information in a listing must be accurate, complete, and truthful, and must reflect the actual state of the property at the time of publishing.
- Publishing any listing for a property whose publisher does not hold explicit legal authorization to offer it is prohibited.
- Including any misleading or exaggerated information regarding the property, its price, location, or condition is prohibited.
- Publishing forged images, images taken from other properties, or images altered in a way that contradicts reality is prohibited.
6-2 Listing review
- All listings are subject to manual review before publishing. The review is formal and does not constitute verification of the accuracy of the information.
- Matrah reserves the absolute right to accept, reject, or request modification of any listing without giving any reason.
- Matrah may remove any listing that violates this Agreement or the law, and the removal decision is final.
6-3 Content license
- By publishing any content, you grant Matrah a free, non-exclusive license to use and display it on the platform and its associated marketing channels.
- Matrah reserves the right to retain archival copies after a listing is deleted, for legal purposes, for a period not exceeding five (5) years.
6-4 Due diligence
Matrah does not verify the legal ownership, legal status, or encumbrances of properties. The responsibility for conducting due diligence rests exclusively with the parties concerned.
- The User affirms that they conduct their own independent legal and financial checks before completing any transaction.
- Publishing a listing on Matrah does not constitute confirmation of the accuracy of any information contained in it.
7. Subscriptions and Payments
7-1 Subscription and fees
- Paid subscription plans are available for brokers and developers. Fees are determined as published on the platform at the time of subscription.
- Completing payment constitutes express acceptance of the subscription terms in full.
- Matrah reserves the right to modify prices with at least 14 days' prior notice, effective from the next renewal cycle.
7-2 Refund policy
All paid fees are non-refundable except in cases where Palestinian law expressly requires a refund. Not using the service is not grounds for a refund.
- Subscriptions renew automatically unless the User cancels at least 48 hours before the end of the current cycle.
- Late payment entitles Matrah to suspend the account immediately without prior notice.
- Matrah bears no responsibility for any loss resulting from account suspension due to non-payment.
7-3 Secure processing
- Payments are processed through licensed service providers. Matrah does not store full payment card data.
- Matrah is not responsible for any payment-processing issue arising from a third party.
8. General Disclaimer
Matrah is exclusively a display and communication platform and does not guarantee the completion of any transaction. All dealings take place under the full and exclusive responsibility of the parties concerned.
8-1 Content disclaimer
- Matrah makes no express or implied representations or warranties regarding the accuracy, truth, or completeness of listings.
- Matrah does not guarantee that advertised prices reflect the actual market value of properties.
- Matrah does not verify the authenticity of images and does not guarantee their correspondence to reality.
8-2 Users disclaimer
- Matrah does not guarantee Users' identities, reliability, or financial solvency.
- Matrah bears no responsibility for any fraud or deception practiced by one User on another.
- Communication between Users takes place at their full responsibility, and Matrah is not a party to any dispute between them.
8-3 Technical disclaimer
- Matrah does not guarantee that the platform is free of technical errors or temporary downtime.
- Matrah bears no responsibility for any loss resulting from service interruption or technical downtime.
9. Limitation of Liability
To the maximum extent permitted by Palestinian law, Matrah's total liability toward any User is limited as specified below.
9-1 Fully excluded liability
- Indirect, consequential, incidental, or punitive damages.
- Loss of profits, business opportunities, or expected revenue.
- Loss of data, time, or business goodwill.
- Any loss resulting from the actions of other Users or third parties.
9-2 Liability cap
- Matrah's total liability shall not exceed the actual amount paid by the User during the three (3) months preceding the dispute, or five hundred US dollars (USD 500), whichever is less.
- This cap applies even if Matrah was informed in advance of the possibility of such losses.
9-3 Release
- By accepting this Agreement, you release Matrah, its directors, employees, and agents from all claims arising from your use of the platform or your dealings with other Users.
10. Prohibited Conduct
Users are strictly prohibited from:
- Publishing false, misleading, or forged information, including manipulating prices or specifications.
- Impersonating another person or pretending to represent an entity one is not authorized to represent.
- Listing properties without explicit written legal authorization from the property owner.
- Publishing duplicate listings for a single property, or fake listings, to manipulate the platform.
- Using the platform for fraudulent, illegal, or public-order-violating purposes.
- Attempting to hack the platform, disrupt its systems, or circumvent any security mechanism.
- Copying, extracting, or republishing platform data by any tool without written permission.
- Contacting Users for purposes outside the scope of the platform, or sending unsolicited messages.
- Submitting forged or altered property documents to the platform or to other Users.
- Any other act that would harm Matrah, its Users, or the platform's reputation.
11. Enforcement
11-1 Actions available to Matrah
- Issuing a formal warning to the User.
- Removing the violating content without prior notice.
- Temporarily suspending the account while keeping applicable subscription fees in force.
- Permanently terminating the account without refunding any paid amounts.
- Banning the User from creating any new account in the future.
- Taking civil or criminal legal action under Palestinian law.
- Demanding that the User fully compensate the damages incurred by Matrah or other Users.
11-2 Right to appeal
- The User may object to any action by contacting Matrah within 7 business days of the date of the action.
- Matrah's decision after reviewing the objection is final and may not be appealed except before the competent judicial authorities.
12. Platform Suspension and Withdrawal
Matrah does not guarantee the continuous availability of the platform at all times. Matrah may suspend, withdraw, or restrict part or all of the platform for operational or commercial reasons without prior notice in exceptional cases.
- Reasons for suspension include — but are not limited to — technical maintenance, legal compliance, commercial decisions, and force majeure events.
- In cases of planned suspension, Matrah endeavors to notify subscribers 48 hours in advance.
- Suspension of the platform does not entitle Users to claim any compensation, except where gross negligence by Matrah is established.
13. Account Suspension and Termination
13-1 By Matrah
- Matrah reserves the absolute right to suspend or terminate any account upon violation of the Agreement, suspicion of fraud, or harm to the platform.
- In serious cases, Matrah may terminate immediately without notice and without refunding any fees.
13-2 By the User
- The User may terminate their account at any time without a refund of the current period's fees.
- The User remains bound by all obligations that arose before terminating their account.
13-3 Effects of termination
- Upon termination, the User's listings are deleted, while Matrah retains the internal archive for legal purposes.
- A User whose account was terminated for a violation is not permitted to register again without Matrah's express permission.
14. Privacy and Data Protection
The privacy policy published on the platform is an integral part of this Agreement. By accepting this Agreement, you automatically accept the privacy policy.
- Matrah processes personal data in accordance with the published policy and applicable Palestinian laws.
- Your personal data will not be sold to third parties under any circumstances.
- Matrah may share data with legal or judicial authorities when legally required to do so.
15. Intellectual Property
- All intellectual property rights relating to the platform — including the trade name, logo, designs, and software — are the exclusive property of Matrah and are legally protected.
- Using any part of these elements for commercial purposes without Matrah's prior express written permission is prohibited.
- The license granted to the User is personal, non-exclusive, non-transferable, and revocable.
- Any infringement of intellectual property rights exposes the infringer to full legal liability.
16. Third-Party Links and Content
- The platform may contain links to third-party websites. Matrah does not control them and bears no responsibility for their content.
- Accessing any external link is done at the User's full responsibility.
17. Force Majeure
Matrah is not responsible for any delay or failure in providing the services if it results from causes beyond its control, including:
- Natural disasters, epidemics, or national emergencies.
- Wars, security disturbances, or emergency governmental decisions.
- Widespread outages in internet or electricity infrastructure.
- Large-scale cyberattacks beyond the scope of reasonable protection.
18. Governing Law and Dispute Resolution
18-1 Governing law
This Agreement is governed exclusively by the laws in force in the State of Palestine, without regard to conflict-of-laws rules.
18-2 Jurisdiction
- The competent Palestinian courts have exclusive jurisdiction to hear any dispute arising from this Agreement.
- By accepting this Agreement, you acknowledge your submission to the exclusive jurisdiction of the Palestinian courts.
18-3 Amicable settlement
- In the event of any dispute, the parties undertake to seek to resolve it amicably within thirty (30) days from the date of written notice.
- If amicable settlement is not possible, mediation may be resorted to before recourse to the courts.
19. General Provisions
- Severability: if any clause is found to be legally unenforceable, it is severed without affecting the remaining clauses.
- Waiver: Matrah's failure to exercise any right is not a waiver of it, and no waiver is effective except by a signed written document.
- Entire agreement: this Agreement, together with the privacy policy and the advertising guidelines, constitutes the entire contractual document between Matrah and the User.
- Governing language: Arabic is the official language adopted for interpreting this Agreement in the event of any conflict with any other translation.
- Notices: official notices are sent via the registered email and are deemed received 24 hours after being sent.
